Terms & Conditions – Brainy RMS

1. Scope of the Service
Brainy RMS is a Revenue Management Software (SaaS – Software as a Service) that analyzes market demand by combining historical data, current bookings, and external sources to recommend optimal pricing strategies.

2. Access and Activation
Access to the service is activated within 30 days of signing the agreement and receiving the login credentials (username and password).

3. Term and Renewal
The initial subscription term is 12 months. The agreement renews automatically for additional 12-month periods unless terminated with at least 30 days’ written notice.

4. Fees and Payments
The service is fee-based. Billing starts upon activation. Payments can be monthly or annual upfront, via bank transfer, credit card, or SEPA direct debit.

5. Use and Responsibility
Brainy RMS provides an efficient service but does not guarantee uninterrupted or error-free operation. Suggested rates are for guidance only: the user remains solely responsible for operational decisions based on the software’s recommendations.

6. Maintenance and Updates
The service may be temporarily suspended for maintenance, updates, or other technical reasons.

7. Data Protection
Data processing complies with the GDPR (EU Regulation 2016/679).
Brainy RMS is an independent controller of the data required to provide the service.
The user is responsible for any third-party data entered into the platform and releases Brainy RMS from any related liability.
The user also agrees to the use of their data for statistical, research, and marketing purposes.

8. Limitation of Liability
Brainy RMS shall not be liable for any direct or indirect damages resulting from delays, interruptions, malfunctions, errors, or misuse of the service, except in cases of willful misconduct or gross negligence.

9. Governing Law and Jurisdiction
These Terms are governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the Court of Bolzano (BZ), Italy.

10. Acceptance
By using the platform, you fully accept these Terms & Conditions.
